Terms and conditions of use

Preamble


At Digital Africa, we believe that Africa's incredibly inventive and committed tech entrepreneurs are the most powerful force driving the continent's transformation. These talents are determined to shape the Africa of tomorrow. How can they do so? By using technological solutions to drive sustainable and prosperous economic development, for the benefit of future generations. Digital technology is the starting point for making Africa a global player.


This is the background to the Talent 4 Startups program, developed and financed by Digital Africa. Its aim is to support the training of young Africans in tech-related professions, and to subsequently integrate them into the workforce, particularly in fast-growing African startups.


Definitions 


For the purposes of the Terms and Conditions of the Talent 4 Startups learner application process, the following definitions apply:


  1. Data: any information transmitted by the candidate learner to obtain a grant under the Talent 4 Startups program, as well as data relating to partners (training organizations known as "EdTechs").


  1. Personal data: any information relating to an identified or identifiable natural person (hereinafter referred to as the "data subject"); an "identifiable natural person" is deemed to be a natural person who can be identified, directly or indirectly, in particular by reference to an identifier, such as a name, an identification number, location data, an online identifier, or to one or more factors specific to his or her physical, physiological, genetic, mental, economic, cultural or social identity; (Art 4. 1, General Regulation on the Protection of Personal Data (RGPD)).


  1. Form: presentation and evaluation questionnaire of the candidate learner wishing to benefit from the Talent 4 Startups program.


  1. User: any candidate for the Talent 4 Startups program, any learner selected to receive a Talent 4 Startups program grant and any Talent 4 Startups Partner, are qualified as users.


  1. Project: the use of data transmitted by startups via the form.


  1. License: the right granted by the User to Digital Africa to use such data for the purposes of the Project.

This website is hosted by Infomaniak, data is stored and processed in Europe in compliance with the General Data Protection Regulation.


1. Objective


Digital Africa is launching the second version of Talent 4 Startup, a program designed to support the training of talent in tech and digital professions on the African continent. By covering the costs of training in high-demand sectors, and then facilitating contacts between talented individuals and the startups that are recruiting, Talent 4 Startups improves the employability of young people while meeting the skills needs of the ecosystem.


The purpose of these general terms of use is to specify the digital application process and the use of Data.


In this context, Digital Africa presents a form intended for the User who wishes to obtain its support. 


In this context, the User grants Digital Africa the right to use the Data transmitted via the form.


This Data will be used by Digital Africa for its own needs and those of the Project's service providers within the scope of article 4.4.


The present Terms and Conditions are accessible and printable at any time via a direct link at the bottom of the site's home page.


2. Operator of the website and the form

The site and the form are operated by Digital Africa, a one-person simplified joint-stock company with registered offices at 151 rue Saint Honoré, Paris 1st.


3. Acceptance

The purpose of these General Terms and Conditions of Use (hereinafter "GTCU") is to define the terms and conditions under which the User may apply for Digital Africa's support. 


They constitute a contract between Digital Africa and the User. This contract will be established at the time of acceptance of the GTU by the User, through a confirmation button to be checked at the beginning of the form. The GCU will come into force as soon as this form is sent.


They cancel and replace all previous provisions and constitute the entirety of the rights and obligations of the parties. The GCUS are communicated to each User who acknowledges and accepts them by sending the form. 


They can be accessed at any time on the site where the form is presented, or on request. 


Submitting the form and requesting support implies full and unreserved acceptance of these GCUS. 


Non-acceptance implies renunciation.  


Digital Africa reserves the right to modify these terms and conditions at any time and without prior notice. 


In order to participate in the Talent 4 Startups program, the User certifies that he/she has reached the legal age required under local law, and is therefore entitled to apply and accept these Terms and Conditions.


4. Data license


4.1


The User retains full ownership of the Data.


The Data is protected by copyright and database right. 


The User does not transfer to Digital Africa any rights to the Data other than those expressly mentioned in these terms and conditions. 


4.2 


The User hereby grants Digital Africa the assignable and transferable right to use the Data for the purposes of the Project, as well as to exploit the results thereof (hereinafter, the "License"). 


This License is non-exclusive. 


This License is granted for France, Europe and the rest of the world. 


This License is granted for a term of 3 years, unless terminated by one of the Parties at least two months prior to the current term. 


4.3 


Digital Africa may integrate the Data into its own information system by adapting and reformatting the Data, aggregating it, selecting certain objects and generalizing it. 


The products resulting from these operations will be the property of Digital Africa and may be distributed to third parties, including without the User's prior consent.


4.4


This License shall not be construed as authorization to redistribute the raw Data itself. Digital Africa does not have the right to redistribute the Data in its original state of delivery. 


As an exception, Digital Africa has the right to redistribute the Data to a service provider provided that the service provider agrees to abide by the terms of this license. 


For any use other than those expressly mentioned in this License, Digital Africa must obtain the User's express, prior and written authorization.


5. Guarantees


The User warrants to Digital Africa the full and quiet enjoyment of the rights transferred against any and all disorders, actions, claims or evictions whatsoever.


In particular, the User warrants to Digital Africa that it has all the rights and authorizations necessary to grant the present License and that the Data does not contain anything that may fall under the laws and regulations relating in particular to counterfeiting, unfair competition, privacy, image rights, personality rights and more generally, contravene the rights of third parties.


The User guarantees Digital Africa against all complaints, claims and/or demands whatsoever on the part of a third party that Digital Africa may suffer as a result of the violation, by the User, of the above guarantees. The User undertakes to indemnify Digital Africa for any loss it may suffer and to pay all costs, indemnities, charges and/or judgments it may incur as a result.


Digital Africa is not responsible for any errors or omissions in the information provided by Users and Users are required to provide accurate and up-to-date information.


6. License free of charge


This license, granted on a non-exclusive basis and free of charge, reflects Digital Africa's selfless commitment to the Talent 4 Startups program, thus assuring users that the use of their data for project-specific purposes remains free of charge.


7. Personal data


The Data collected as part of the form request is collected exclusively for internal use. The Data computer processing is carried out under the responsibility of Digital Africa. Only persons acting under the authority of Digital Africa and on its instructions can access it, including subcontractors (in particular hosts) acting in the performance of their duties. Any subcontractor brought on this occasion to become aware of this data will be subject to an obligation of confidentiality. In particular, he is prohibited from using for his own account or from communicating all or part of this data to third parties.


The data is kept for a maximum period of three (3) years from the end of the relationship between Digital Africa and the Startup.


The persons whose personal data are collected have the right to access, rectify, delete and oppose, for legitimate reasons, information concerning them. They may also object, free of charge, to their data being used for prospecting, in particular commercial purposes.


Information transmitted by the User as part of the examination of his/her application that may be considered personal data within the meaning of the General Regulation on the Protection of Personal Data (RGPD) will be processed in accordance with Digital Africa's personal data protection policy.


8. Autonomy


If one or more stipulations hereof are held to be invalid by a law or regulation, or declared as such by final decision of a competent court, they will be deemed unwritten. The other stipulations of the present will remain in force while retaining all their force and their scope, as far as possible, the Parties agreeing, as necessary, to come together in order to replace the null clause by a valid clause. , as close as possible, in its mind, to the one it is intended to replace.


9. Non-waiver


The fact, for one of the Parties, of not availing itself at a given moment of one of the stipulations of the present cannot be interpreted nor considered as a waiver of its rights under the present, will not affect in any way way the validity of all or part of the present and will not affect the rights of the Party concerned to act accordingly.


No Party shall be deemed to have waived any right acquired under the terms of the contract, unless waived in writing and signed.


10. Language


This Agreement is written in French and translated into English. In case of difficulty of interpretation, only the French version will prevail.


11. Applicable law and jurisdiction


THE PRESENT TERMS OF USE ARE SUBJECT TO FRENCH LAW AND WILL BE GOVERNED AND INTERPRETED ACCORDING TO THIS LAW.


ANY LITIGATION WHICH MAY ARISE ON THE OCCASION OF THEIR VALIDITY, THEIR INTERPRETATION OR THEIR EXECUTION WILL BE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE COURTS OF PARIS.


12. Entry into force

These Terms of Use entered into force on January 1, 2024.
